End-User License Agreement — QuickBooks Integration

This End-User License Agreement ("Agreement") is a legal agreement between you ("you", "your", or "User") and 3-Axis Studios (Pty) Ltd ("3-Axis Studios", "we", "us", or "our") governing your use of the QuickBooks integration feature (the "Integration") of the 3-Axis Studios client and operations portal (the "Service"), available at 3axis.co.za. By connecting a QuickBooks Online account to the Service or by using the Integration, you agree to be bound by this Agreement. If you do not agree, do not connect a QuickBooks account or use the Integration.


1. About Us

2. What the Integration Does

The Integration connects the Service to Intuit's QuickBooks Online accounting platform ("QuickBooks") and synchronises business records with the QuickBooks company file that you authorise. Records flow primarily from the Service into QuickBooks; payment records, product/service records and customer/client records also sync back from QuickBooks into the Service (see below). Specifically, the Integration may create or update in QuickBooks:

  • Customers — your clients' names, company names, email addresses, and phone numbers held in the Service;
  • Items — your products and services (name, price, description, and active status), both those held in your library and those appearing on quote and invoice line items;
  • Estimates — quotes synced to QuickBooks as estimates: quote references, dates, expiry dates, line items, quantities, amounts, discounts, applicable VAT, the client's billing email address, and an internal note identifying the corresponding record in the Service;
  • Invoices — invoice numbers, references, dates, due dates, line items, quantities, amounts, discounts, applicable VAT, the client's billing email address, and an internal note identifying the corresponding record in the Service;
  • Payments — payment amounts, dates, and references, applied against the corresponding invoices.

Synchronisation occurs automatically when qualifying events happen in the Service (for example, when an invoice is emailed to a client or a payment is captured) and on demand when an administrator triggers a manual sync.

Payment sync back from QuickBooks: the Integration also reads payments recorded in QuickBooks — for example when a bank deposit is matched to an invoice there — and records the corresponding payment against the matching invoice in the Service, so the two stay reconciled. Only payments applied to an invoice the Integration previously synced are imported, each payment is imported at most once, and payments that originated in the Service are never re-imported.

Product sync back from QuickBooks: the Integration also imports products and services (Items) created in QuickBooks into the Service's product library. Where an Item matches an existing product by name, the Integration links the two rather than creating a duplicate; an Item already linked to a product in the Service is not re-imported, and later edits made in QuickBooks to a product already linked to the Service are not pulled back into the Service.

Customer sync back from QuickBooks: the Integration also imports customers created in QuickBooks into the Service's client list. Where a Customer matches an existing client by email address or display name, the Integration links the two rather than creating a duplicate; a Customer already linked to a client in the Service is not re-imported, and later edits made in QuickBooks to a client already linked to the Service are not pulled back into the Service. Aside from these payment, product and customer records, the Integration reads only limited reference data from your QuickBooks company (income accounts, tax codes, and the identifiers of existing customers, items, estimates, invoices and payments) to match records and avoid creating duplicates, and it stores those QuickBooks record identifiers against the corresponding records in the Service. Where your QuickBooks file already contains a customer with the same display name, or an estimate or invoice with the same document number, as a record being synchronised, the Integration will link to — and may update — that existing record rather than create a duplicate; it does not otherwise modify records it did not create. Where your QuickBooks company file contains no income account, the Integration may create one (named "Sales") so that synchronised items can be recorded against it.

Deletion: when you delete a quote or an invoice in the Service that had been synced to QuickBooks, the Integration removes the corresponding estimate or invoice from QuickBooks so the two stay consistent. QuickBooks may refuse to remove a record it considers protected (for example an invoice with a linked payment); in that case the record remains in QuickBooks and the outcome is logged. The Integration does not delete any other QuickBooks records.


3. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Integration as part of the Service for your internal business purposes. All rights not expressly granted are reserved by 3-Axis Studios and its licensors.


4. Restrictions

You may not, and may not permit any third party to:

  • copy, modify, adapt, translate, or create derivative works of the Integration;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Integration, except to the extent permitted by applicable law;
  • rent, lease, sell, sublicense, distribute, or otherwise transfer the Integration to any third party;
  • use the Integration to transmit unlawful, infringing, or harmful content or data;
  • interfere with or disrupt the integrity or performance of the Integration, the Service, or the systems of Intuit Inc.;
  • use the Integration in any manner that violates Intuit's terms of service or applicable law.

5. Your QuickBooks Account and Authorisation

The Integration connects to QuickBooks using Intuit's OAuth 2.0 authorisation framework. When you connect, you are redirected to Intuit's own sign-in page; your QuickBooks password is never seen, transmitted through, or stored by the Service. Intuit issues the Service access credentials (tokens) that are stored securely server-side and used solely to perform the synchronisation described in this Agreement.

You are responsible for:

  • maintaining a valid QuickBooks Online subscription and complying with Intuit's terms;
  • ensuring you have the authority to connect the QuickBooks company file that you authorise;
  • the accuracy of the data you enter into the Service, which the Integration will faithfully mirror into QuickBooks.

You may disconnect the Integration at any time from the Service's settings. Disconnecting deletes the stored credentials from the Service, requests that Intuit revoke them, and stops all synchronisation; records already created in QuickBooks remain in QuickBooks and are thereafter under your sole control.


6. Third-Party Services and Intuit Disclaimer

QuickBooks and QuickBooks Online are registered trademarks of Intuit Inc. 3-Axis Studios and the Service are not affiliated with, sponsored by, endorsed by, or certified by Intuit Inc. Your use of QuickBooks is governed solely by your agreement with Intuit, including Intuit's Terms of Service and privacy statements. We are not responsible for the availability, accuracy, or performance of QuickBooks or any other Intuit service, nor for any act or omission of Intuit Inc.


7. Data Protection and Privacy

We process personal information in accordance with the Protection of Personal Information Act, 2013 (POPIA) and our Privacy Policy. In the context of the Integration:

  • the categories of data transmitted to Intuit are limited to those listed in section 2 above;
  • data is transmitted directly and securely (HTTPS/TLS) between the Service and Intuit's API endpoints;
  • we do not sell, rent, or trade the data processed by the Integration to any third party;
  • access credentials issued by Intuit are stored server-side, outside public reach, and are deleted when you disconnect the Integration;
  • once data resides in QuickBooks, its further processing is governed by Intuit's own terms and privacy practices.

8. Intellectual Property

The Integration, the Service, and all associated software, design, and content are and remain the exclusive property of 3-Axis Studios (Pty) Ltd and its licensors. This Agreement does not transfer any ownership rights to you. All trademarks, logos, and brand names of Intuit Inc. remain the property of Intuit Inc.


9. No Accounting or Tax Advice

The Integration is a data-transfer convenience only. Nothing in the Service or the Integration constitutes accounting, tax, or financial advice. You remain solely responsible for reviewing your books, verifying that synchronised records are complete and accurate, and complying with your accounting, tax, and statutory obligations. We recommend that a qualified accountant reviews your QuickBooks records.


10. Disclaimer of Warranties

The Integration is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Integration will be uninterrupted, error-free, or that every record will synchronise successfully in every circumstance — including circumstances where QuickBooks or Intuit's systems are unavailable. Where a synchronisation fails, the affected records remain in the Service and can be re-synchronised.


11. Limitation of Liability

To the maximum extent permitted by applicable law, 3-Axis Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of or inability to use the Integration, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Integration shall not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or R1,000, whichever is greater. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under South African law, including under the Consumer Protection Act, 2008, where it applies.


12. Indemnity

You agree to indemnify and hold harmless 3-Axis Studios, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of this Agreement, your violation of Intuit's terms, or your infringement of any third-party rights in connection with your use of the Integration.


13. Term and Termination

This Agreement is effective from the moment you first connect a QuickBooks account to the Service and continues until terminated. You may terminate it at any time by disconnecting the Integration in the Service's settings. We may suspend or terminate the Integration (or your access to it) at any time if you breach this Agreement, if required by Intuit or by law, or if we discontinue the feature. Sections 4, 6 through 12, and 15 survive termination.


14. Changes to This Agreement

We may update this Agreement from time to time. The "Last updated" date at the top of this page reflects the most recent version. Material changes will be notified through the Service or by email. Your continued use of the Integration after changes take effect constitutes acceptance of the revised Agreement.


15. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict-of-law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of South Africa.
